SYNERGISE SPARK – TERMS OF SERVICE

Provider: Synergise Media Ltd trading as Synergise Spark (Company No. 12227394)

Introduction

  • Synergise Spark is delivered by the experienced in-house team at Synergise Media Ltd. These terms outline how we deliver your project efficiently while maintaining our agency quality standards.

1. Payment & Deposits

  • The Synergise Spark package is priced at £695.

  • Full payment is required in advance before any work begins. Payment must be received in cleared funds.

  • No project will be scheduled or commenced until full payment has been received.

  • If the client delays the project for more than 14 days after payment, Synergise Media Ltd reserves the right to close the project or reschedule the timeline.

  • Payment is accepted by debit/credit card or via Stripe invoice.

2. Cooling-Off Period & Admin Fee

  • You have a 14-day cooling-off period from the date of payment, as required by UK Consumer Contracts Regulations.

  • If no work has been carried out and you cancel, a £50 admin fee will be retained from the refund.

  • If work has begun within the cooling-off period (with your consent), a proportionate fee will apply based on the work completed.

  • If a partial delivery (such as a logo or draft preview) has already been made before cancellation, a fair portion of the fee will be retained based on work completed — in addition to the standard £50 admin fee.
  • Refunds are not available once the design phase has commenced, unless we are unable to deliver the agreed scope. In such cases, a fair partial refund may be considered at our discretion based on work completed.

  • Refunds (where applicable) will be processed within 7–10 business days of confirmation.
  • To cancel within the 14-day cooling-off period, please email hello@synergisespark.co.uk and clearly state your intention to cancel. We recommend using the subject line “CANCEL” to ensure prompt processing. We will confirm receipt within 2 business days.
    (“Business days” refer to weekdays, Monday to Friday, excluding UK public holidays.)

3. Client Delays & Timelines

  • Clients must provide requested information, content, and feedback within 7 days of request.
  • Typical turnaround is 5-7 working days from receipt of complete content and payment. This timeframe may extend if your content, approvals, or add-on details are delayed.
  • All official communications regarding deadlines, payments, and revisions will be made via email. It is the client’s responsibility to monitor their inbox and respond within the timeframes outlined.
  • Delays may cause rescheduling or additional costs if rework is required.
  • Prolonged delays of more than 14 days may trigger full payment regardless of project status.
  • Clients who are not ready to provide full content are encouraged to wait before booking, or complete the project form as fully as possible to begin. If no substantial progress is made within 14 days, the project may be rescheduled and/or incur a handling fee of £50
  • If no progress is made within 30 days from form submission, Synergise Media Ltd reserves the right to close the project and retain payment.
  • Synergise Media Ltd is not responsible for missed communications resulting from spam filters, incorrect email addresses, or client-side technical issues. Clients must ensure hello@synergisespark.co.uk is marked as a safe sender.

4. Content Ownership & Copyright

  • Clients must ensure all submitted content (text, images, media) is owned by them or legally licensed.
  • Synergise Media Ltd is not liable for any copyright infringements relating to client-provided material.
  • Where we use third-party assets (e.g., free stock images or fonts), these are selected with commercial-use rights at the time of creation. However, it is the client’s responsibility to verify licensing if the logo/site will be used in legal filings, trademarking, or resale contexts.

5. Intellectual Property & Ownership

  • You will own the website and visual assets we create for you once the project is completed and full payment has been received.
  • Completion is defined as either:
    • (a) the final approval of the design preview by the client, or
    • (b) delivery of the finished site files or login credentials, whichever occurs first.
  • This includes the final logo, website files, and any delivered branding assets.
  • We recommend that you store a copy, as we are not obligated to keep backups after project completion.
  • You confirm that all content you provide (text, images, assets) are either owned by you or you have permission to use them. We accept no liability for copyright claims arising from submitted content.
  • Synergise Media retains rights to any tools, frameworks, or design elements developed outside this project.
  • The final design is licensed to you exclusively and permanently for this project only. It cannot be resold, redistributed, or repurposed without written consent.
  • This includes the logo design delivered as part of your bundle. Your logo is licensed for use within your business only and must not be sold, repackaged, or used as part of any product offered to others.
  • Logo drafts are created based on the preferences you provide in your project form. You are entitled to one logo concept and one round of tweaks. If you are unsatisfied and require a new direction or additional concepts, this falls outside the base package and will be quoted separately.
  • We create logo concepts based on your answers and design preferences. While we take care to use original layouts and commercially safe design practices, we do not guarantee trademark clearance or global originality. It is your responsibility to conduct any trademark checks or registration if you wish to protect your logo legally

Logo File Delivery

  • Final logo files will be provided in transparent PNG and JPG format via email or file-sharing link. Other formats (such as SVG or PDF) are not included in the standard package but may be requested and quoted separately. Clients are responsible for downloading and safely storing their logo files after delivery, as ongoing access is not guaranteed unless covered by an active support plan.
  • We strongly recommend that you download and safely store your final website and logo files. Ongoing access is not guaranteed unless covered by an active support plan

  • Once the project is completed and delivered, Synergise Media Ltd has no ongoing obligation to provide support, updates, or backups unless covered under an active support plan.
  • Where final approval is not explicitly provided within 7 days of delivery, the project will be considered complete and accepted by default.
  • Unless agreed otherwise in writing, we may display the completed design (including logo or website visuals) in our portfolio and promotional materials.
  • We may include a small, unobtrusive credit in the website footer (e.g., “Designed by Synergise Spark”) unless otherwise agreed in writing. This credit does not affect your ownership of the site design.

Logo Usage, Feedback & Licensing

  • Logo drafts are created based on the preferences you provide in your project form. You are entitled to two rounds of revision. If you are unsatisfied with all submitted designs and require a new direction or concept, this will fall outside the base package and must be quoted separately.
  • Final logo files are licensed for use by the named business on your order form only. You may not sell, distribute, reuse, or adapt the logo for any other business, product, or client without prior written consent. Breach of this licensing agreement may result in termination of rights and further action.
  • We create logo concepts based on your answers and design preferences. While we take care to use original layouts and commercially safe design practices, we do not guarantee trademark clearance or global originality. It is your responsibility to conduct any trademark checks or registration if you wish to protect your logo legally.
  • We create all logos using original layouts and commercially safe resources, which may include AI-assisted design tools. However, as with all creative work, we do not guarantee global uniqueness. You are responsible for conducting any trademark checks or registration if you wish to protect your logo legally.

6. Revisions & Scope

  • One logo concept and one round of tweaks are included in the package. Additional revisions may be quoted separately.
    • “Extra Revision” means one more round of design tweaks before final delivery.
    • “Small Update Pack” means one small post-launch fix, like editing a sentence or swapping an image.
  • Clients will have up to 7 days from final delivery to request minor text-based updates or raise any issues related to the original brief. This does not include new requests, scope changes, or structural edits.
  • The Synergise Spark package includes a single one-page website with the following core sections:
    • Hero/Intro with your business name and call to action
    •  About or intro paragraph
    •  Services list
    •  Pricing breakdown (if provided)
    •  Testimonials (optional)
    •  Image gallery or portfolio
    •  Contact details and/or enquiry form
  • The image gallery or portfolio section includes up to 8 images. Additional images or media will be quoted separately to maintain performance and layout quality.
  • Additional pages or advanced features will be quoted separately.
  • This package does not include copywriting.
  • All site text, media, and content must be supplied by the client.
  • Copywriting services are available as an optional add‑on for an additional £75
  • Clients must ensure all selected add-ons are confirmed and paid for at checkout.
  • Failure to complete payment for selected add-ons may result in delays or the exclusion of those services from the project.

Domain & Instagram Handle Availability

  • If your preferred domain name or social media handle is unavailable, we will either:
    • Register the closest available professional match based on your business name and industry, or
    • Await your confirmation before registering.
  • If you choose to confirm before we proceed but do not reply within 1 business day, we may secure the best available alternative to keep your project on schedule. (“Business day” means Monday to Friday, excluding UK public holidays.)
  • We will not engage in extended back-and-forth discussions or multiple alternatives for domains, handles, or visual changes unless this is covered by a relevant add-on or upgraded service tier.
  • Additional requests for domain changes or social handle revisions after registration may incur fees.
  • This package does not include access to the website admin panel.
  • To protect your site’s stability, manual changes by clients aren’t supported under the base package. Small updates can be requested through a Small Update Pack or support plan.
  • Any damage caused by unauthorised edits may incur a repair fee.
  • The Synergise Spark package must be hosted with us for at least the first 12 months. It is not transferable to third-party hosting providers or platforms. The package has been designed to operate on our infrastructure only.
  • Any requests that fall outside the original scope (as defined in the project form or initial brief) will be quoted separately. The Synergise Spark package is fixed-scope and does not include custom coding, advanced integrations, or features not explicitly listed.
  • Optional add-ons (such as extra pages, forms, revisions, or copywriting) are available for purchase post-launch. A full list of optional services is available on request or via email.
  • Any issues or disputes relating to the final deliverables must be raised within 14 days of delivery. After this period, the project will be deemed complete and accepted in full. The Synergise Spark package is designed to be expandable. Additional pages, advanced features, and marketing services are available through Synergise Media Ltd without the need to rebuild your existing Spark website.

7. Non-Payment & Termination

  • Projects will not begin until full payment is received. If payment is not received, Synergise Media Ltd reserves the right to cancel or delay the project without liability.

  • Website launch, email setup, and file delivery are dependent on full payment being cleared.

  • Failure to pay in advance does not constitute a breach of contract, as no services will be scheduled or delivered until payment is received.

  • Continued non-payment following an issued invoice may result in legal action or referral to a debt collection agency.

  • Synergise Media Ltd reserves the right to terminate the project without refund if the client becomes abusive, engages in harassment, or breaches the agreed terms.
  • We reserve the right to refuse work or terminate projects if the client’s conduct disrupts workflow, disrespects boundaries, or violates professional standards.

8. Liability

  • Synergise Media Ltd is not liable for third-party service issues (e.g., hosting outages, Gmail alias errors).
  • If a client modifies the site or attempts their own edits post-launch, Synergise Media Ltd is not liable for resulting issues. Any fixes due to client-side changes may be quoted and billed separately.
  • Support plans include technical maintenance only.
  • This may cover security updates, plugin conflicts, and minor corrections caused by platform issues.
  • It does not include redesigns, new content updates, feature requests, or content population unless expressly agreed.
  • Time spent investigating or fixing issues caused by third-party plugins or external user access will be billed at our standard hourly rate.
  • Basic SEO and mobile optimisation are included, but performance guarantees (e.g. search rankings) are not offered.
  • We are not liable for any loss of income, business, contracts, customers, data, or profits as a result of using the website we create for you, including delays in launch, technical issues, or service outages.
  • While we take care to build websites to industry standards and best practices, we do not guarantee specific outcomes such as search engine rankings, increased traffic, or business results.
  • You acknowledge that all services are provided on an “as is” basis and that performance depends on a range of factors beyond our control, including third-party providers and platforms.
  • You are responsible for reviewing the final website and confirming its accuracy before launch. We are not liable for any loss or errors resulting from content, pricing, or functionality provided or approved by the client.
  • By approving the final design, you confirm that you have reviewed all content, pricing, links, and functionality. We are not responsible for any post-launch errors that were present in the approved version.
  • Support plans do not cover training, business consulting, or non-technical tasks unless expressly agreed.
  • You acknowledge that the services provided are creative and technical in nature, and outcomes may vary. We do not guarantee that any website, logo, or deliverable will result in increased business, revenue, or reputation. You agree not to hold us liable for business losses, missed opportunities, or reputational harm related to the use, timing, or appearance of the services delivered.
  • You are solely responsible for reviewing and approving all written content. We are not liable for errors in spelling, pricing, business information, disclaimers, or compliance language that originate from your supplied material.
  • Compliance with accessibility laws, data protection regulations, or industry-specific legal obligations is the responsibility of the client. We do not provide legal advice or guarantee legal compliance unless explicitly agreed in writing.

9. Governing Law

  • These terms are governed by the laws of England and Wales.
  • Any disputes will be handled by the appropriate UK courts.

10. Data Privacy & Client Information

  • We will collect and store client information only as necessary to deliver the services agreed.
    All data is handled in compliance with the UK General Data Protection Regulation (UK GDPR).
  • Your information will not be shared with third parties except as required to fulfil your services (e.g., domain registration or email setup).
  • By agreeing to these terms, you consent to us storing and using your information solely for the purposes of fulfilling your order and providing follow-up support.

11. Hosting, Renewals & Migration

  • The Synergise Spark package includes 12 months of managed hosting from the date of project completion. This is non-transferable and must be hosted on our infrastructure during this period.

Annual Renewals

  • After the initial 12 months, clients may choose to:
    • Renew base hosting annually from £10/month (paid yearly, with email reminders and invoices sent in advance), or
    • Request to migrate their website to a new provider.
  • Failure to pay renewal invoices by the due date may result in:
    • Suspension of hosting and domain services
    • Permanent deletion of website files or domain expiration
    • Loss of access to email accounts or related DNS services
  • We strongly recommend coordinating renewal or migration before your annual deadline to avoid service disruption.

Migration Requests

  • Clients who wish to migrate their website after the initial 12-month period must request this in writing.
  • Migration is not included in the base package and will be quoted separately.
  • Our migration service includes a basic handover only, which involves:
    • Exporting the WordPress site files and database as a .zip package

    • Providing basic instructions for your new host or developer to install the site

    • Sending the package to you or your developer via email or file transfer

  • We do not provide:
    • Rebuilds using free themes or plugins
    • Plugin/theme replacement if our developer licences are no longer valid
    • Setup or configuration on your new host
    • cPanel, backend, or staging access
    • Troubleshooting once transferred
  • Any premium themes or plugins licensed to Synergise Media Ltd will not be transferred. After migration, you are responsible for:
    • Purchasing valid licences for any premium tools used
    • Replacing unsupported plugins/themes as needed
  • Attempted self-migrations or third-party transfers without our export may result in downtime, missing data, or broken pages. These issues are outside our control and not our responsibility.
  • We are not liable for issues arising after handover, including plugin errors, licensing failures, or hosting-related problems.
  • To request a migration, please email hello@synergisespark.co.uk and clearly state your request. A quote will be provided within 2–3 business days.

 

  • Licensed Themes and Plugins
    • Your website may be built using one or more premium themes or plugins licensed to Synergise Media Ltd. While hosted with us, these tools are kept up to date and supported under our developer accounts.
    • After migration, these licenses do not transfer. You must either:
      • Purchase your own valid license(s), or
      • Request a rebuild of the site using free or alternative tools (quoted separately)
    • Use of premium software without a valid license may lead to:
      • Feature loss or theme errors
      • Security vulnerabilities
      • Breach of software licensing agreements
    • We are not liable for any issues arising from unlicensed, unsupported, or outdated software after migration.
  • Monthly Hosting Support
    After the first 12 months, clients may optionally subscribe to one of our support tiers below. Support is billed monthly via Direct Debit and may be cancelled anytime with 14 days’ notice.

    • “Content edits” refer to small changes such as editing text, updating links, replacing images, or modifying basic contact details – up to a total of 15 minutes per calendar month. This time does not roll over.
    • Requests that involve structural changes, new features, additional pages, or complex troubleshooting fall outside this allowance and will be quoted separately.
    • Content edits do not roll over. Time overages or complex fixes are quoted separately.
    • Crash support covers situations where your website becomes inaccessible (e.g. white screen, critical plugin failure, or front-end crash). It does not include plugin/theme troubleshooting, feature errors, or requests that require rebuilds, redesigns, or 3rd-party integrations.

12. Payment Follow-Up & Reminders

  • If payment is not received after form submission, we may send up to two reminder emails.
  • Projects will not begin until payment is cleared.
  • If we receive no response or payment within 14 days, your project may be removed from the schedule or cancelled without notice.

13. International Clients

  • We welcome international clients and are happy to work with customers outside the UK. Please note the following terms and conditions that apply specifically to international orders:

Governing Law

    • These terms are governed by the laws of England and Wales. By placing an order with Synergise Spark, international clients agree that any disputes or legal matters will be resolved under UK law, through the UK courts, regardless of your country of residence.

Currency & Payment

    • All prices are listed in British Pounds Sterling (GBP). If you are paying from outside the UK, your bank or card provider may apply currency conversion fees. We are not responsible for any additional charges incurred by your financial institution.

Time Zones & Deadlines

    • Our business operates in UK time (Greenwich Mean Time or British Summer Time, depending on the season). All deadlines, feedback windows, delivery times, and business days are calculated based on UK time. Clients in other time zones should account for this when communicating or reviewing timelines.

Hosting & Site Performance

    • All websites are hosted on our secure UK-based servers via Krystal.io. While this is suitable for most global users, you may experience minor latency depending on your location. We do not currently provide regional server options or CDN integration, but sites are optimised for global accessibility where possible.

Data Privacy

    • By submitting personal or business information through our platform, you consent to your data being collected, processed, and stored in the United Kingdom in accordance with UK GDPR. We do not guarantee compliance with data protection laws outside the UK and are not liable for jurisdictional differences in data handling laws.

Refund Timelines

    • Refunds are processed within 7–10 UK business days of confirmation. For international clients, your local bank or payment provider may take additional time to credit the amount to your account. We are not responsible for delays caused by banking networks or currency conversion processes.

14. Force Majeure

  • We are not liable for failure to fulfil obligations due to events outside our reasonable control, including but not limited to natural disasters, service outages, illness, acts of war, or regulatory changes.

15. Entire Agreement

  • These terms represent the entire agreement between the parties and supersede all prior discussions or agreements, whether written or oral. Any amendments must be agreed in writing.
